THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1450 ENTERPRISES, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

4. Data Loss

While we implement industry-standard backup procedures, we are not liable for any loss of data. Users are encouraged to maintain their own backups using the export feature (available for Plus tier and above).

5. Third-Party Services

We are not responsible for any third-party services you may connect to Context Capsule, including AI tools via MCP integration. Your use of such services is governed by their respective terms.

6. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including natural disasters, acts of war, terrorism, riots, embargoes, or acts of civil or military authorities.

7. Encryption Limitations

For Ultra tier users with zero-trust encryption: You are solely responsible for maintaining your encryption keys. Lost encryption keys cannot be recovered by us, and we cannot decrypt your data without them.

8. Indemnification

You agree to indemnify and hold harmless 1450 Enterprises, LLC from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

9. Governing Law

These terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

10. Dispute Resolution

Any disputes arising from these terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
